Key provisions in this agreement govern the provision of the services, setting out a detailed specification of those services and the various conditions which apply to their provision. Both parties provide extensive warranties, particularly with regard to the non-infringement of third party intellectual property rights. Each party also agrees to indemnify the other in the event of a breach of warranty. The liability of either party can be limited if desired. Payment under this agreement can be either by monthly fees (with an optional initial fee) or by an initial fee followed by a completion fee (not suitable of ongoing services are to be provided). In addition, the client is required to transfer such amounts as are necessary to the PPC management service provider to finance the PPC campaigns set up and managed under the agreement.
